Clicking the “I Accept” button is a confirmation of your agreement that you will comply with each of the following statements for License Terms and Export Restrictions.
You agree that U.S. sanctions and export control laws and other applicable export and import laws govern your use of the software applications and documentation, including technical data. You agree that you will comply fully with all applicable U.S. and other sanctions and export control laws, including the sanctions laws applicable to certain projects that are restricted under the Ukraine-/Russia-related sanctions programs.
You further confirm the following:
You are not a citizen, national or resident of, and are not under the control of the government of Cuba, Iran, North Korea, Syria, or the Crimea region of Ukraine nor any country or territory to which the United States prohibits exports.
You will not download or otherwise export, re-export or transfer the software applications or associated documentation, directly or indirectly, to the above-referenced countries nor to citizens, nationals or residents of those countries or territories.
You are not listed on the United States Department of Treasury List of Specially Designated Nationals and Blocked Persons or List of Foreign Sanctions Evaders; the United States Department of Commerce Denied Parties List, Entity List, or Unverified List; the United States Department of State Nonproliferation Sanctions List or Debarred List; nor the consolidated list of persons, groups and entities subject to EU financial sanctions, and you are not directly or indirectly 50% or more owned, individually or in the aggregate, by any party or parties on any of the above-mentioned lists.
You will not download or otherwise export, re-export or transfer the software applications and associated documentation, directly or indirectly, to persons on the above-mentioned lists or entities that are directly or indirectly 50% or more owned, individually or in the aggregate, by such persons and/or by entities on the above-mentioned lists.
You will not use the software applications and associated documentation for, and will not allow the software applications or associated documentation to be used for, any purposes prohibited by United States law, including, without limitation, for the development, design, manufacture or production of nuclear, chemical or biological weapons of mass destruction or other prohibited end-uses.
NOTE FOR PROJECTS IN RUSSIA: You will not use, and will not allow the use of, the software applications and associated documentation directly or indirectly in support of exploration or production for
a) deepwater (at depths of more than 500 feet),
b) Arctic offshore or
c) shale
oil or gas projects in Russia or in maritime area claimed by Russia and extending from its territory.
NOTE FOR PROJECTS OUTSIDE OF RUSSIA: You will not use, and will not allow the use of, the software applications and associated documentation directly or indirectly in support of exploration or production for deepwater, Arctic offshore, or shale projects that are initiated on or after January 29, 2018 that have the potential to produce oil in any location outside of Russia, and in which a company that is subject to Directive 4 of the Ukraine-/Russia-related sanctions administered by the Office of Foreign Assets Control (OFAC) has a 33% or greater ownership interest or ownership of a majority of the voting interests. EXPORT RESTRICTION
You agree that U.S. export control laws and other applicable export and import laws govern your use of the software applications and documentation, including technical data.
You agree that neither the software applications, the associated documentation nor any direct product thereof will be exported, directly or indirectly, in violation of these laws or used for any purpose prohibited by these laws including, without limitation, nuclear, chemical, or biological weapons proliferation.
You acknowledge that you will inform the Software Licensor of any actual or suspected failure to comply with any of these requirements. Any failure to comply with any of these requirements may result in termination of Customer’s License Agreement.
